What is a Certificate of Incorporation (Hong Kong)?

The Certificate of Incorporation (HK) is a certificate/document issued to a Hong Kong company with limited liability when the company is registered.

The Certificate of Incorporation is issued by the Hong Kong Companies Registry.

When doing businesses with HK companies, and you want to ensure the entity you are working with is a legitimate entity, you may request the other party to provide a copy of this certificate.

The Certificate of Incorporation is a dual-language (in English language and traditional Chinese characters) document.

The main information that is displayed on a Certificate of Incorporation of a Hong Kong registered company includes the following.

  • Registration number: e.g. 123456
  • Certificate type: e.g. Certificate of Incorporation
  • Official company name in English, Traditional Chinese, or both: ABC Limited
  • Date of Issued (or date of incorporation): e.g. 27 May 2004

Which Companies Need the Certificate of Incorporation?

Do all the registered companies in Hong Kong have a Certificate of Incorporation?

No. Only companies with limited liability are issued with Certificate of Incorporation.

The companies do not possess with Certificate of Incorporation are the companies registered as sole proprietorship through Hong Kong’s Business Registration Office under the Inland Revenue Department (IRD).

Collection of the Certificate of Incorporation

When will you expect to get the Certificate of Incorporation and Business Registration Certificate for your HK company?

After submitting the application in hard copy form for your private company limited by shares, normally you should expect the Certificate of Incorporation and Business Registration Certificate to be issued within 4 business/working days. An email notification will be sent to the person’s email who registered and submitted the application. In the email, the links to download the two certificates are included.

After submitting the application in electronic form for your private company limited by shares (through the e-Registry), you should expect the Certificate of Incorporation and Business Registration Certificate to be issued within one hour.

For company limited by guarantee, expect the Certificate of Incorporation and Business Registration Certificate to be issued after 3 weeks.

Do not expect the certificates i.e. the Certificate of Incorporation and Business Registration Certificate to be post mailed to you. Instead, you will have to collect at the Registry’s Office in person. The person (i.e. presenter) collecting the certificates must be the name that has already been stated in the form i.e. NNC1 or NNC1G.

If the presenter is unable to present him/herself for collection, he/she can send a representative person to collect the Certificate of Incorporation and Business Registration Certificate on behalf of the presenter. The representative person needs to bring along an authorized letter (that was signed by the presenter), and his/her own HKID card, or the company chop (if the representative person represents a corporation).
